Terms and conditions for openseo.so.

Last revised: October 14, 2026

Effective date: October 14, 2026 for new users; November 13, 2026 for existing users

The website located at https://openseo.so (the “Site”), including the hosted GeniusRank services made available through the Site, is a copyrighted work belonging to Code4Genius Limited (“Company”, “us”, “our”, and “we”). These Terms apply to your use of the Site and the hosted GeniusRank services made available through it. Restrictions in these Terms on using hosted-service reports, licensed third-party data, or the hosted service to build a competing product apply only to those hosted-service materials and rights; they do not limit any rights granted separately under the MIT License for the open-source repository. Exporting reports for client deliverables remains permitted, subject to third-party data rights. Certain features of the Site may be subject to additional guidelines, terms, or rules, which will be posted on the Site in connection with such features. If Company and a customer later execute a separate order or data processing agreement, that agreement will govern its stated subject matter to the extent of a direct conflict with these Terms.

THESE TERMS OF USE (THESE “TERMS”) SET FORTH THE LEGALLY BINDING TERMS AND CONDITIONS THAT GOVERN YOUR USE OF THE SITE. BY ACCESSING OR USING THE SITE, YOU ARE ACCEPTING THESE TERMS (ON BEHALF OF YOURSELF OR THE ENTITY THAT YOU REPRESENT), AND YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, AUTHORITY, AND CAPACITY TO ENTER INTO THESE TERMS (ON BEHALF OF YOURSELF OR THE ENTITY THAT YOU REPRESENT). YOU MAY NOT ACCESS OR USE THE SITE OR ACCEPT THE TERMS IF YOU ARE NOT AT LEAST 18 YEARS OLD. IF YOU DO NOT AGREE WITH ALL OF THE PROVISIONS OF THESE TERMS, DO NOT ACCESS AND/OR USE THE SITE.

PLEASE BE AWARE THAT SECTION 10 CONTAINS PROVISIONS GOVERNING HOW TO RESOLVE DISPUTES BETWEEN YOU AND COMPANY. AMONG OTHER THINGS, SECTION 10 INCLUDES AN AGREEMENT TO ARBITRATE WHICH REQUIRES, WITH LIMITED EXCEPTIONS, THAT ALL DISPUTES BETWEEN YOU AND US SHALL BE RESOLVED BY BINDING AND FINAL ARBITRATION. SECTION 10.5 PROVIDES FOR INDIVIDUAL PROCEEDINGS TO THE EXTENT PERMITTED BY LAW; ARBITRATION DOES NOT INVOLVE A JURY, AND SECTION 10.7 PRESERVES ANY JURY RIGHT FOR CLAIMS PROCEEDING IN COURT.

UNLESS YOU OPT OUT OF THE AGREEMENT TO ARBITRATE WITHIN 30 DAYS AS PROVIDED IN SECTION 10.6, AND SUBJECT TO THE EXCEPTIONS AND NONWAIVABLE RIGHTS IN SECTION 10: (1) YOU WILL ONLY BE PERMITTED TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF AGAINST US ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION; AND (2) YOU ARE WAIVING YOUR RIGHT TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF IN A COURT OF LAW AND TO HAVE A JURY TRIAL.

  1. Accounts

    1. Account Creation. In order to use certain features of the Site, you must register for an account (“Account”) and provide certain information about yourself as prompted by the account registration form. You represent and warrant that: (a) all required registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information. You may delete your Account at any time, for any reason, by following the instructions on the Site. Company may suspend or terminate your Account in accordance with Section 8.

    2. Account Responsibilities. You are responsible for maintaining the confidentiality of your Account login information and are fully responsible for all activities that occur under your Account. You agree to immediately notify Company of any unauthorized use, or suspected unauthorized use of your Account or any other breach of security. Company cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.

  2. Access to the Site

    1. License. Subject to these Terms, Company grants you a non-transferable, non-exclusive, revocable, limited license to use and access the Site and the hosted GeniusRank services for your personal use and your business purposes, including SEO work for your own websites and for your clients. You may export the reports and results you generate and use them in your own work and in client deliverables; you may not resell them as a standalone data product or use them to build a competing product or service.

    2. Certain Restrictions. The rights granted to you in these Terms are subject to the following restrictions: (a) except as permitted by Section 2.1, you shall not license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Site, whether in whole or in part, or any content displayed on the Site; (b) you shall not modify, make derivative works of, disassemble, reverse compile or reverse engineer any part of the Site; (c) you shall not access the Site in order to build a similar or competitive website, product, or service; and (d) except as expressly stated herein, no part of the Site may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means. These restrictions concern the Site, hosted Service and materials licensed through them; they do not restrict use, modification, distribution or other rights in repository code separately granted under the MIT License, or activities that applicable law does not permit us to restrict. Unless otherwise indicated, any future release, update, or other addition to functionality of the Site shall be subject to these Terms. All copyright and other proprietary notices on the Site (or on any content displayed on the Site) must be retained on all copies thereof.

    3. Modification. Company may modify or discontinue features, subject to any notice or remedy expressly required under these Terms or applicable law. If Company discontinues a paid hosted subscription without cause before the end of a prepaid period, the refund provision in Section 8 applies.

    4. No Support. We may offer the support channels described on the Site or in an applicable order. Unless separately agreed, no particular support response time is promised. Support information may be processed as stated in the Privacy Policy.

    5. Ownership. Excluding any User Content that you may provide (defined below), you acknowledge that all the intellectual property rights, including copyrights, patents, trade marks, and trade secrets, in the Site and its content are owned by Company or Company’s suppliers. Neither these Terms (nor your access to the Site) transfers to you or any third party any rights, title or interest in or to such intellectual property rights, except for the limited access rights expressly set forth in Section 2.1. Company and its suppliers reserve all rights not granted in these Terms. There are no implied licenses granted under these Terms.

    6. Feedback. If you provide Company with any feedback or suggestions regarding the Site (“Feedback”), you hereby assign to Company all rights in such Feedback and agree that Company shall have the right to use and fully exploit such Feedback and related information in any manner it deems appropriate. Company will treat any Feedback you provide to Company as non-confidential and non-proprietary. You agree that you will not submit to Company any information or ideas that you consider to be confidential or proprietary.

    7. Subscriptions, Fees, and Refunds. Access to certain features of the hosted GeniusRank service requires a paid subscription. Fees are billed in advance on a recurring basis and are non-refundable except as expressly provided in this Section or as required by applicable law. We offer a 30-day money-back guarantee: if you are not satisfied with your paid subscription, you may request a full refund of your most recent subscription charge by emailing hello@code4genius.com within thirty (30) days of that charge. The guarantee applies to subscription fees only and does not apply to separately purchased usage or top-up credits. Company reserves the right, in its sole discretion, to review each refund request and to decline a refund where it reasonably suspects fraud, abuse of the guarantee (including repeated subscribe-and-refund cycles), violation of these Terms or the Acceptable Use Policy, or other misuse of the Site or the refund policy. You may cancel your subscription at any time through your billing portal; your access will continue through the end of the then-current billing period, and no further charges will be made.

    8. Before checkout, we will clearly disclose the applicable recurring price, billing interval, any trial-to-paid transition, included credits, top-ups, and material cancellation and refund conditions, and obtain express informed consent to the recurring charge. If the billing portal is unavailable, contact hello@code4genius.com to stop future recurring charges. The $10 monthly subscription includes $10 in usage credits for that monthly billing period; unused included credits expire at the end of that period and do not roll over. Separately purchased top-up credits roll over month to month and do not expire while your Account remains open and the hosted Service remains available, subject to the closure and discontinuation provisions below. After subscription cancellation (which is not Account closure), unused top-up credits remain associated with your account, but you must have an active monthly subscription to access the hosted service and spend them. Ending a subscription does not itself convert top-up credits to cash.

    9. Account closure and permanent discontinuation of the hosted Service are different from subscription cancellation. On Account closure, whether requested by you or resulting from termination under Section 8, or on permanent discontinuation of the hosted Service, unused included and purchased top-up credits are forfeited and are not refundable, except to the extent required by applicable law. This credit treatment does not eliminate the subscription-fee refund guarantee above, the refund of unused prepaid subscription fees on discontinuation without cause under Section 8, or any nonwaivable consumer right. Credits are distinct from unused prepaid subscription fees and do not create an additional cash-refund entitlement except where applicable law requires one.

  3. User Content

    1. User Content. “User Content” means information and materials that you or your authorized users submit to, connect to, or save in the hosted Service, including prompts, in-app agent chat histories, organization & project data, and information retrieved from third-party accounts that you authorize us to connect. User Content does not include third-party SEO data independently licensed or obtained by Company, or Company’s underlying software and services. Your rights in information obtained from a connected third-party account remain subject to that provider’s applicable terms. You are solely responsible for your User Content. You assume all risks associated with use of your User Content, including any reliance on its accuracy, completeness or usefulness by others, or any disclosure of your User Content that personally identifies you or any third party. You hereby represent and warrant that your User Content does not violate our Acceptable Use Policy (defined in Section 3.4). You may not represent or imply to others that your User Content is in any way provided, sponsored or endorsed by Company. Since you alone are responsible for your User Content, you may expose yourself to liability if, for example, your User Content violates the Acceptable Use Policy. We do not provide a guaranteed backup service. Deletion, account closure and available export are addressed in Section 8 and the Privacy Policy. You are solely responsible for creating and maintaining your own backup copies of your User Content if you desire.

    2. License. You retain your rights in User Content. You grant Company a nonexclusive, worldwide, royalty-free license to access, host, reproduce, transmit, display to your authorized users, and otherwise process User Content only as reasonably necessary to provide the features you request, maintain and secure the hosted Service, provide support, and comply with applicable law. Company may permit service providers to process User Content for those purposes, subject to applicable agreements and settings. This license does not authorize Company to use User Content to train a generalized AI model. Following deletion or account closure, the license continues only to the limited extent necessary to handle copies retained in accordance with the Privacy Policy, applicable law, security requirements, or a pending dispute, and ends for each such copy when it is deleted.

    3. Connected Accounts and AI. If you connect a third-party account or request an AI-assisted feature, Company may process the information reasonably needed to fulfill that request, including through the providers identified in the Privacy Policy. A retrieved report may form part of a saved report or in-app chat history; disconnecting an account stops future authorized access but does not, by itself, delete information already saved in the hosted Service. Deletion and retention of saved information are described in the Privacy Policy. To address your support request, authorized personnel and OpenAI or Anthropic support agents may process support information and relevant Organization & Project data reasonably needed for that request, subject to access controls, applicable provider agreements and documented no-training configurations. This does not authorize unrestricted access to connected accounts or routine transfer of all connected-account data. Google API user data remains subject to the specific use, transfer, human-access and authorization restrictions in Section III of the Privacy Policy and applicable Google requirements; acceptance of these Terms or submission of a support request does not itself waive those restrictions.

    4. Acceptable Use Policy. The following terms constitute our “Acceptable Use Policy”:

      1. You agree not to use the Site to collect, upload, transmit, display, or distribute any User Content (i) that violates any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right, (ii) that is unlawful, harassing, abusive, tortious, threatening, harmful, invasive of another’s privacy, vulgar, defamatory, false, intentionally misleading, trade libelous, pornographic, obscene, patently offensive, promotes racism, bigotry, hatred, or physical harm of any kind against any group or individual or is otherwise objectionable, (iii) that is harmful to minors in any way, or (iv) that is in violation of any law, regulation, or obligations or restrictions imposed by any third party.

      2. In addition, you agree not to: (i) upload, transmit, or distribute to or through the Site any computer viruses, worms, or any software intended to damage or alter a computer system or data; (ii) send through the Site unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of duplicative or unsolicited messages, whether commercial or otherwise; (iii) use the Site to harvest, collect, gather or assemble information or data regarding other users, including e-mail addresses, without their consent; (iv) interfere with, disrupt, or create an undue burden on servers or networks connected to the Site, or violate the regulations, policies or procedures of such networks; (v) attempt to gain unauthorized access to the Site (or to other computer systems or networks connected to or used together with the Site), whether through password mining or any other means; (vi) harass or interfere with any other user’s use and enjoyment of the Site; or (vii) use software or automated agents or scripts to produce multiple accounts on the Site, or to generate automated searches, requests, or queries to (or to strip, scrape, or mine data from) the Site (provided, however, that we conditionally grant to the operators of public search engines revocable permission to use spiders to copy materials from the Site for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials, subject to the parameters set forth in our robots.txt file).

    5. Enforcement. We reserve the right (but have no obligation) to review, refuse and/or remove any User Content in our sole discretion, and to investigate and/or take appropriate action against you in our sole discretion if you violate the Acceptable Use Policy or any other provision of these Terms or otherwise create liability for us or any other person. Such action may include removing or modifying your User Content, terminating your Account in accordance with Section 8, and/or reporting you to law enforcement authorities.

  4. Indemnification. You will defend and indemnify Company and its officers and employees against a third-party claim to the extent arising from your User Content infringing third-party rights, your unlawful use of the Service, or your material breach of these Terms, excluding claims caused by Company’s own breach, negligence or misconduct. Company reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of Company. Company will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.

  5. Third-Party Links & Ads; Other Users

    1. Third-Party Links & Ads. The Site may contain links to third-party websites and services, and/or display advertisements for third parties (collectively, “Third-Party Links & Ads”). Such Third-Party Links & Ads are not under the control of Company, and Company is not responsible for any Third-Party Links & Ads. Company provides access to these Third-Party Links & Ads only as a convenience to you, and does not review, approve, monitor, endorse, warrant, or make any representations with respect to Third-Party Links & Ads. You use all Third-Party Links & Ads at your own risk, and should apply a suitable level of caution and discretion in doing so. When you click on any of the Third-Party Links & Ads, the applicable third party’s terms and policies apply, including the third party’s privacy and data gathering practices. You should make whatever investigation you feel necessary or appropriate before proceeding with any transaction in connection with such Third-Party Links & Ads.

    2. Other Users. Each Site user is solely responsible for any and all of its own User Content. Since we do not control User Content, you acknowledge and agree that we are not responsible for any User Content, whether provided by you or by others. We make no guarantees regarding the accuracy, currency, suitability, appropriateness, or quality of any User Content. Your interactions with other Site users are solely between you and such users. You agree that Company will not be responsible for any loss or damage incurred as the result of any such interactions. If there is a dispute between you and any Site user, we are under no obligation to become involved.

    3. Release. You hereby release and forever discharge Company (and our officers, employees, agents, successors, and assigns) from, and hereby waive and relinquish, each and every past, present and future dispute, claim, controversy, demand, right, obligation, liability, action and cause of action of every kind and nature (including personal injuries, death, and property damage), that has arisen or arises directly or indirectly out of, or that relates directly or indirectly to, the Site (including any interactions with, or act or omission of, other Site users or any Third-Party Links & Ads). IF YOU ARE A CALIFORNIA RESIDENT, YOU HEREBY WAIVE CALIFORNIA CIVIL CODE SECTION 1542 IN CONNECTION WITH THE FOREGOING, WHICH STATES: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”

  6. Disclaimers

THE SITE IS PROVIDED ON AN “AS-IS” AND “AS AVAILABLE” BASIS, AND COMPANY (AND OUR SUPPLIERS) EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ALL WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT. Nothing in these disclaimers excludes a non-waivable consumer right or overrides an express written commitment. SEO metrics and AI-assisted outputs can be incomplete, delayed or inaccurate; users should review results before reliance or distribution to clients. Company does not guarantee rankings, traffic or revenue. WE (AND OUR SUPPLIERS) MAKE NO WARRANTY THAT THE SITE WILL MEET YOUR REQUIREMENTS, WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR WILL BE ACCURATE, RELIABLE, FREE OF VIRUSES OR OTHER HARMFUL CODE, COMPLETE, LEGAL, OR SAFE. Any warranties or remedies that cannot lawfully be excluded or limited remain available to the extent required by applicable law.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. AI output is not legal, financial, or professional advice and may not be unique.

  7. Limitation on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COMPANY (OR OUR SUPPLIERS) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS, LOST DATA TO THE EXTENT IT CONSTITUTES AN EXCLUDABLE INDIRECT OR CONSEQUENTIAL LOSS, COSTS OF PROCUREMENT OF SUBSTITUTE PRODUCTS, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ACCESS TO, AND USE OF, THE SITE IS AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR COMPUTER SYSTEM, OR LOSS OF DATA RESULTING THEREFROM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THESE TERMS (FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION), WILL AT ALL TIMES BE LIMITED TO A MAXIMUM OF THE FEES YOU PAID COMPANY FOR THE HOSTED SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR, FOR A FREE ACCOUNT, US$100), EXCEPT FOR LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR COMPANY’S FRAUD OR WILLFUL MISCONDUCT. THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT. No supplier immunity applies beyond any protection available under applicable law and the supplier’s own agreement, if any.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. The cap does not limit liability that cannot legally be limited.

  8. Term and Termination. Subject to this Section, these Terms will remain in full force and effect while you use the Site. We may suspend or terminate your rights to use the Site (including your Account) immediately for credible security threats, unlawful use or material misuse, and otherwise after reasonable notice and an opportunity to cure a material breach where practicable. Upon termination of your rights under these Terms, your Account and right to access and use the Site will terminate immediately. You understand that any termination of your Account may involve deletion of your User Content associated with your Account from our live databases. If Company discontinues a prepaid subscription without cause, it will refund unused prepaid subscription fees. Account closure or permanent discontinuation of the hosted Service results in forfeiture of unused credits as provided in Section 2.7, subject to applicable law. This does not reduce the foregoing refund of unused prepaid subscription fees or other refund rights expressly preserved by Section 2.7. Subscription cancellation alone is not Account closure and does not forfeit unused purchased top-up credits. Where technically available and lawful, Company will offer a reasonable opportunity to export available User Content before permanent deletion. We will give at least 15 days’ notice of termination for a curable material breach unless a security, legal, or payment-fraud risk requires faster action. Export will remain available for 30 days after notice of closure where the data is still on active systems. Post-termination deletion and lawful retention are described in the Privacy Policy. After termination, provisions that by their nature must continue—including accrued payment obligations, ownership and permitted-use restrictions, indemnification for pre-termination conduct, disclaimers, limitations of liability, dispute-resolution provisions, and the limited post-termination User Content license expressly described in Section 3, survive only to the extent applicable. Section 3 does not otherwise grant a continuing right to use User Content after deletion.

  9. Copyright Policy. Company respects the intellectual property of others and asks that users of our Site do the same. In connection with our Site, we have adopted and implemented a policy respecting copyright law that provides for the removal of any infringing materials and for the termination, in appropriate circumstances, of users of our online Site who are repeat infringers of intellectual property rights, including copyrights. If you believe material available through the hosted Service infringes your copyright, send a written copyright complaint containing sufficient information to identify the work, the material and its location, and a way to contact you, to the copyright-complaints contact below. A person who knowingly makes a material misrepresentation in an infringement or counter-notification may be liable for resulting damages and costs as provided by applicable law.

  10. Dispute Resolution. This section requires most disputes between you and Code4Genius Limited (“Company”) concerning the Site, hosted GeniusRank service or these Terms to be resolved through individual arbitration rather than in court. Arbitration uses a neutral arbitrator instead of a judge or jury. It includes exceptions, a 30-day opt-out right, and protections for rights that cannot lawfully be waived. You and Company may also seek help from government agencies.

    1. Scope and exceptions. If you do not opt out under Section 10.6, you and Company agree to arbitrate disputes arising out of or relating to the Site, the hosted Service or these Terms that accrue after you first agree to this arbitration section. Neither party is required by these Terms to arbitrate a claim that accrued before that assent. This section does not require arbitration of (a) an individual claim eligible to remain in small claims court; (b) a claim or remedy that applicable law does not permit the parties to require to be arbitrated; or (c) a request for temporary court relief needed to protect rights while arbitration is pending. Either party may ask a court for equitable relief concerning infringement or misuse of intellectual-property rights. Asking for temporary court relief or filing an agency complaint does not by itself waive arbitration of otherwise covered claims. The agreement to arbitrate survives termination solely for disputes it covers. A person seeking to enforce this section who is not a party to these Terms must establish an applicable legal basis for doing so; these Terms do not automatically extend arbitration to every affiliate or representative.

    2. Optional informal resolution. We encourage you to contact us at the legal-notice email identified in Section 11 or by mail at Code4Genius Limited, 34 Harding Street, Cambridge, Massachusetts 02141, and describe the issue and the relief requested. We may likewise contact you at your account email. Either party may propose a call or written exchange. Informal discussions are optional: no conference, individualized meeting, certification, or waiting period is required before filing an arbitration demand, an eligible small-claims case, or an application for urgent relief. Starting discussions does not automatically pause a statute of limitations or filing deadline; the parties can agree in writing to toll one.

    3. How arbitration works. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement where applicable. JAMS will administer the arbitration under its rules applicable to the type of dispute, including its consumer standards and rules when applicable. You may review the rules and current fee schedule through JAMS before filing. To begin, a party submits a demand in accordance with the applicable rules and provides a copy to the other party at the legal-notice address in Section 11 or the account contact, as applicable. The demand should identify the parties, the claim and the relief sought. No additional company-specific demand certification is required. If JAMS cannot administer the dispute, the parties will agree on another administrator; if they cannot agree, a court with jurisdiction may select an arbitrator as permitted by law. The hearing may be remote, on documents, or in person as permitted by the applicable rules and law; a consumer will not be required to travel farther than the applicable rules or law allow. The arbitrator may allow reasonable information exchange and award the same individual relief that a court could award under applicable law. The arbitrator will issue a reasoned written award where required by applicable rules or law, and a court with jurisdiction may enter judgment on the award. Arbitration materials are not subject to a special confidentiality restriction under these Terms; applicable law, JAMS rules and any protective order still apply.

    4. Fees; who decides. Filing, administrative and arbitrator fees will be allocated under the applicable JAMS rules and mandatory law. These Terms do not require a consumer to bear a cost that applicable rules or law place on Company or to surrender a legally available remedy or attorneys’ fee award. Each party otherwise pays its own lawyers unless applicable law or an enforceable award provides otherwise. A court decides whether an agreement to arbitrate was formed, whether this section governs the dispute, and any issue that applicable law requires a court to decide, including a challenge to the class limitation. The arbitrator decides the merits of claims properly submitted to arbitration and ordinary procedural matters under the applicable rules. These Terms do not delegate contract-formation or enforceability questions to the arbitrator.

    5. Individual proceedings and nonwaivable relief. Covered claims will be arbitrated individually, not as a class or collective proceeding, to the extent permitted by law. The arbitrator will not consolidate different customers’ claims without the agreement of the parties involved. Nothing in this section waives a right to request public injunctive or other relief that applicable law does not permit you to waive. If a court determines that a particular claim or request for relief cannot be arbitrated under this individual-proceeding provision, that portion will proceed in a court with jurisdiction to the extent required by law; other covered claims may proceed in arbitration, subject to any stay required by law or ordered by the court. This section does not prevent participation in a lawful class-wide settlement.

    6. Your 30-day opt-out right. You may opt out of this entire arbitration section by mailing a clear opt-out notice to Code4Genius Limited, 34 Harding Street, Cambridge, Massachusetts 02141, or by emailing it to hello@code4genius.com or legal@openseo.so, within 30 days after you first become bound by this section. Include your name, account email and a statement that you opt out of arbitration. We will not penalize you for opting out; the rest of these Terms will still apply. A valid opt-out from a previous arbitration agreement remains effective unless you expressly agree otherwise. If you opt out, neither party can require arbitration under this section. A notice timely submitted through a method authorized by the version applicable when you opted out remains effective; consolidating these procedures does not invalidate a prior valid notice.

    7. Changes, severability and court proceedings. A material change to this arbitration section will not govern an existing customer without notice and any assent required by applicable law. Consistent with Section 11.1, Company will request affirmative acceptance of a material arbitration change rather than relying solely on continued use. You may reject a material arbitration change by writing to Company at the mailing address in Section 10.6 or emailing legal@openseo.so within 30 days after the change becomes effective. If you reject the change, or do not affirmatively accept it where acceptance is required, any prior enforceable arbitration agreement remains applicable according to its terms, subject to any valid opt-out; this provision does not create an agreement where none existed. No change will retroactively place an already-accrued claim in arbitration without a separate agreement. If part of this section is unenforceable, the rest remains effective only if it can operate consistently with applicable law and the parties’ agreement; Section 10.5 controls treatment of a nonarbitrable claim or remedy. For disputes proceeding in court rather than arbitration, the governing-law and forum provisions in Section 11 apply, subject to mandatory consumer protections and jurisdictional requirements. A party retains the right to a jury in court to the extent applicable law provides one; neither party has a jury in arbitration.

  11. General

    1. Changes. These Terms are subject to occasional revision, and if we make any substantial changes, we may notify you by sending you an e-mail to the last e-mail address you provided to us (if any), and/or by prominently posting notice of the changes on our Site. You are responsible for providing us with your most current e-mail address. In the event that the last e-mail address that you have provided us is not valid, or for any reason is not capable of delivering to you the notice described above, our dispatch of the e-mail containing such notice will nonetheless constitute effective notice of the changes described in the notice. For a material change affecting an existing paid account, we will email at least 30 days’ notice. Continued use after the effective date is acceptance of a non-material change. We will ask for affirmative acceptance where the law requires it or where the change adds a fee, narrows your data rights, or changes arbitration. Changes do not retroactively alter accrued claims. Marketing opt-in is separate from Terms acceptance.

    2. Export. The Site may be subject to U.S. export control laws and may be subject to export or import regulations in other countries. You agree not to export, reexport, or transfer, directly or indirectly, any U.S. technical data acquired from Company, or any products utilizing such data, in violation of the United States export laws or regulations.

    3. Governing law. Except as provided in the Arbitration Agreement with respect to the Federal Arbitration Act, these Terms are governed by Massachusetts law, without applying conflict-of-laws rules that would require another jurisdiction’s law. For a dispute that is not subject to arbitration, the parties consent to the state courts located in Suffolk County, Massachusetts, and the federal court with jurisdiction over Suffolk County, Massachusetts, where that court has subject-matter jurisdiction. This paragraph does not deprive a consumer of protections or a forum that cannot lawfully be waived.

    4. Disclosures. Company is located at Code4Genius Limited, 34 Harding Street, Cambridge, Massachusetts 02141. If you are a California resident, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Product of the California Department of Consumer Affairs by contacting them in writing at 400 R Street, Sacramento, CA 95814, or by telephone at (800) 952-5210.

    5. Electronic Communications. The communications between you and Company use electronic means, whether you use the Site or send us emails, or whether Company posts notices on the Site or communicates with you via email. For contractual purposes, you (a) consent to receive communications from Company in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that Company provides to you electronically satisfy any legal requirement that such communications would satisfy if it were in a hardcopy writing.
